TechMoris IT Solutions provides a range of global IT services including but not limited to:

  • Cyber Risk Assessments and information security consulting
  • Global IT Support Services and infrastructure management
  • Global Service Desk and end-user support
  • Global IT Staffing and talent placement
  • Global IT Asset Lifecycle Management

The specific scope, deliverables, timelines, and commercial terms for any engagement are defined in a separate Service Agreement or Statement of Work agreed between TechMoris IT Solutions and the client.

Use of Our Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

  • Use the website in any way that violates applicable local, national, or international laws or regulations

In the course of providing services, both parties may have access to confidential information belonging to the other. Each party agrees to keep such information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law.

Confidential information includes but is not limited to business strategies, technical data, client lists, pricing information, and any information marked as confidential or that would reasonably be understood to be confidential given the nature of the disclosure.

Confidentiality obligations survive the termination of any service engagement and remain in force for a period of three years following the end of the relevant relationship, unless a separate agreement specifies otherwise.

Client Responsibilities

Where TechMoris IT Solutions is engaged to deliver services, the client agrees to:

  • Provide accurate, complete, and timely information required for service delivery
  • Grant appropriate access to systems, environments, and personnel as reasonably required
  • Appoint a named point of contact with sufficient authority to make decisions related to the engagement
  • Notify TechMoris IT Solutions promptly of any changes that may affect the scope or delivery of services
  • Comply with all applicable laws and regulations in connection with the use of our services

TechMoris IT Solutions accepts no liability for delays or issues in service delivery arising from the client's failure to meet these responsibilities.

Section 07

Payment Terms

Fees for services are set out in the relevant Service Agreement or proposal document. Unless otherwise agreed in writing:

  • Invoices are payable within 30 days of the invoice date
  • Late payments may be subject to interest charges in accordance with applicable law
  • TechMoris IT Solutions reserves the right to suspend services where payment obligations are not met
  • All fees are exclusive of applicable taxes unless otherwise stated

Any disputes regarding invoices must be raised in writing within 14 days of the invoice date. Undisputed amounts remain payable in full by the original due date.

Limitation of Liability

To the fullest extent permitted by applicable law, TechMoris IT Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of data, loss of revenue, or business interruption.

Our total liability in connection with any service engagement shall not exceed the total fees paid by the client to TechMoris IT Solutions in the three months preceding the event giving rise to the claim, unless otherwise agreed in writing.

Nothing in these terms excludes or limits our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

Disclaimers

The content on this website is provided for general information purposes only. While we take reasonable care to ensure accuracy, we make no warranties or representations that the content is complete, current, or free from errors.

Our services are delivered with reasonable skill and care in accordance with the terms of each engagement. However, we do not guarantee specific outcomes, and no content on this website should be construed as a guarantee of results.

We are not responsible for the content or availability of any third-party websites linked from our site.

Section 10

Termination of Services

Either party may terminate a service engagement in accordance with the notice provisions set out in the applicable Service Agreement. In the absence of a specific agreement, either party may terminate with 30 days written notice.

TechMoris IT Solutions reserves the right to terminate or suspend services immediately where:

  • The client is in material breach of these terms or the Service Agreement
  • Payment obligations have not been met and remain unresolved after reasonable notice
  • Continuing the engagement would require us to act in a manner contrary to applicable law

Upon termination, all outstanding fees for work completed to the termination date remain payable.

Section 11

Data Protection

The collection and use of personal data in connection with your use of our website and services is governed by our Privacy Policy, which forms part of these Terms of Service by reference.

Where TechMoris IT Solutions processes personal data on behalf of a client as part of a service engagement, the parties will enter into a Data Processing Agreement that sets out the obligations of each party in accordance with applicable data protection legislation including GDPR.

Section 12

Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with applicable law. Any disputes arising from or in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts of the relevant territory as agreed between the parties at the time of engagement.

For clients based in Italy or elsewhere within the European Union, relevant EU consumer and business protection regulations apply and are not affected by these terms.

Section 13

Changes to These Terms

TechMoris IT Solutions reserves the right to update or revise these Terms of Service at any time. Changes will be posted on this page with an updated effective date. We encourage you to review these terms periodically.

Continued use of our website or services following any changes constitutes your acceptance of the revised terms. If a change materially affects an existing service engagement, we will notify the relevant client directly.
